Dear Shareholder,

Thank you for your inquiry. The Company is still in the process of completing a financing. Upon completion it is expected the spin-off will occur. It is impossible to give specific timing as there are individual investors and institutions participating in the financing which have to be coordinated. Additionally, regulators have to be dealt with on these various transactions.
