Change in Directors or Principal Officers

Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 17, 2009, Dr. Gerald Wittenberg resigned as the Company's Principal Financial Officer, Principal Accounting Officer, Secretary, Treasurer and as a director of the Company. Dr. Wittenberg had no disagreements with the Company on any matter relating to the Company's operations, policies or practices.

On February 18, 2009 Dr. Ricardo Moro was appointed the Company's Principal Financial Officer, Principal Accounting Officer, Secretary and Treasurer.

Dr. Moro remains as the Company's Chief Executive Officer and a director.
