Although some of your points are well-taken, I still have to ask why Dr Moro would not explain ahead of the meeting/vote how he plans to spend the money and how he plans to be frugal etc... and how many shares are likely to be issued and when?

There may be some excellent reasons, but now is not the time to be clandestine.

All we know for sure is that there is the possibility of diluting a penny stock something like 6 times over and not a clue as to when the payback might come.

Communication is critical.
