White Tiger Gold Ltd. (TSX: WTG) have entered into a binding agreement to acquire Century Mining Corp. (TSXV: CMM) for approximately CAD 740 million in stock on March 14, 2011. Under the terms of agreement, shareholders of Century will receive 0.40 of a White Tiger common share for each common share of Century held. Post closing, White Tiger shareholders and Century shareholders will own approximately 39% and 61%, respectively, of the combined company on a fully diluted ... basis. Century will become a direct or indirect wholly-owned subsidiary of White Tiger. Century will pay a termination fee of CAD 13.5 million to White Tiger. The combined Board will be comprised of certain of the Directors of each of Century and White Tiger, with a majority of the Directors being incumbent Directors of White Tiger. Maxim Finskiy, current Executive Chairman of White Tiger, will be Executive Chairman of the combined company, Daniel Major, current President and Chief Executive Officer of Century, will be President and Chief Executive Officer of the combined company and Geoffrey Cowley, currently Chief Executive Officer of White Tiger, will be Chief Operating Officer of the combined company. The transaction is subject to 66 2/3% of the votes cast by Century shareholders, majority of the votes cast by Century shareholders at the special meeting, majority of the votes cast by White Tiger shareholders, Ontario Superior Court approval, dissent rights, third-party consents, Investment Canada Act approval, regulatory approval and customary conditions. The Board of Directors of White Tiger and Century Mining have unanimously approved the transaction and recommend to their respective shareholders that they vote in favour of the transaction at their respective shareholder meetings to be called to approve the transaction. The Board of Directors of each of White Tiger and Century established a special committee to review the transaction. Moelis & Company LLC acted as the financial advisor for special committee of White Tiger. Blair Franklin Capital Partners Inc. acted as the financial advisor for special committee of Century.
