Consolidated Spire Ventures (“the Company”) wishes to clarify its private placement announced on September 4, 2009.The Company announced a non–brokered private placement of up to 10,000,000 units at $0.025 per unit for gross proceeds of $250,000.Each unit consists of one common share and one five-year share purchase warrant.Each warrant will entitle the holder to purchase one additional common share of the Company at a price of $0.05 in the first year and $0.10 in the following four years from the date of closing.A finder’s fee will be payable in accordance with the policies of the TSX Venture Exchange.The terms of the private placement are subject to approval by regulatory authorities.

The proceeds of this private placement will be used for general working capital purposes.

In addition, the Company has decided not to proceed with the remaining private placement announced on June 5, 2009 due to current market conditions.
