The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced Jan. 25, 2008.

Number of shares: 20 million shares

Purchase price: $1 per share

Warrants: 10 million share purchase warrants to purchase 10 million shares

Warrant exercise price: $1.50 for a two-year period

Hidden placees: 104

Insider: Black Bear Offshore Master Fund LP (Eastbourne Capital Management LLC -- Richard Barry), 4,143,540

20,000,000 shares at a buck each. 104 owners.
