Report on Voting Results pursuant to Section 11.3 of
National Instrument 51-102-Continious Disclosure Obligations
The undersigned confirms that, at the Annual Meeting of Shareholders of Global
Railway Industries Ltd. (“Global”) held May 12, 2009, the following represent the voting
results of matters acted upon at the meeting:
Matter Acted Upon Voting Result
Fixing the Board of Directors at 6 and
authorizing the Board to increase or
decrease its number within the minimum
and maximum provided for in the Articles
of Incorporation
Motion carried by show of hands
Election of Directors Of the 9 individuals nominated to fill the 6
positions on the Board of Directors, the
following individuals were elected by ballot
by the indicated percentage of votes
represented at the meeting:
Terry McManaman – 94.7%
Jean Clerk – 94.7%
Thomas Dea – 81.8%
Jacques Cote – 81.8%
Laurie Bennett – 80.7%
Alan Sellery – 80.7%
Appointment of KPMG LLP as auditor and
authorization of the Board of Directors to
fix their remuneration
