The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Dec. 22, 2008, and amended Jan. 7, 2009, Feb. 23, 2009, April 29, 2009, and May 28, 2009.

Number of shares: 10,746,080 shares

Purchase price: 2.5 cents per share

Warrants: 10,746,080 share purchase warrants to purchase 10,746,080 shares

Warrant exercise price: 10 cents for a two-year period

Hidden placees: 20 hidden placees participated

Insiders: John Carswell, 1.33 million; William Troy, 377,280

Pro group: Ron Goos, 200,000

Finders' fees: $2,500 in cash payable to James Carswell; $1,000 in cash payable to James Carter; $1,000 in cash payable to Jeremy McGrath
