Message: Armistice Resources Completes Subsequent Debt Settlement

TORONTO, ONTARIO--(Marketwired - Jan. 2, 2014) - Armistice Resources Corp. (TSX:AZ) (the "Company") announces that further to its press releases of November 21, 2013 and December 4, 2013, it has completed the second tranche of a debt settlement pursuant to a debt conversion agreement with an arm's length creditor, and certain other parties, pursuant to which the Company agreed to settle, in two tranches, an aggregate of $4,000,000 of outstanding indebtedness owed by the Company.

In connection with the closing of the second tranche effective December 31, 2013, the Company has issued an aggregate of 30,000,000 units (each, a "Unit") of the Company to settle an aggregate of $1,500,000 of debt at a price of $0.05 per Unit. Each Unit is comprised of one common share (a "Common Share") and one Common Share purchase warrant (each, a "Warrant"), each Warrant entitling the holder thereof to acquire a Common Share at a price of $0.08 per Common Share for a period of three (3) years from the date of issuance.

The securities issued are subject to a four month hold period, expiring on May 1, 2014.

In December 2012, Armistice completed the purchase of the mineral rights on 18 mining claims totaling 627 acres (the Barber-Larder Property) located on the western boundary of the McGarry Mine.
