Macdonald Mines Limited (Exploration Minière Macdonald Limitée) is a Quebec provincial corproation formed in 1936 under the Quebec Mining Act, and is now ruled by the new Quebec Business Corporation Act.

Accordingly, Macdonald is bound to have its Head Offices in the province, hold its shareholders meetings in Quebec, and it also has to cope with the French Language Charter, translate many documents, etc... while its business headquarters are truly in Toronto.

The new legislation (February 2011) now allows Quebec corporations to continue their existence trough another canadian jurisdiction (federal or provincial), if the provincial (or federal) Business Corporation Act allows it as well. Which the federal effrectively allows (CBCA Act.).

Many corporations are doing this, and I suspect KWG, for instance, will do the same thing in a near future....
