Freewest Resources Canada Inc. ("Freewest") undertakes that if the offer made by Noront Resources Ltd. ("Noront) on October 13, 2009, as may be amended from time to time ("Offer"), is extended to a time that is not earlier than 5p.m. (Montreal time) on December 1, 2009, Freewest will waive effective immediately at 5 p.m. on December 1, 2009 the application of Freewest's shareholders rights plan dated March 20, 2008 ("Rights Plan") with respect to the Offer to section 5.1(3) of the Rights Plan.

In consideration fo the foregoing, the parties acknowledge that Noront's application dated October 30, 2009 (File number 2009-036 - "the Application") is settled and that Noront will not raise the same arguments contained in the Application before the Bureau in the context of this file.
