I'm gonna have to disagree with you there, my friend. You said:

Retail shareholders will only get a fraction of the worth if they accept a cash offer. That price will be all in, including all blue sky potential into perpetuity. Caput. Finito.

In contrast, the blue sky transfers with the asset, in the case of a security exchange transaction. Moreover, a whole new type of value increase then also comes into play, i.e. the consolidation premium (or whatever term you wish to use in its place). I have described that premium as representing a synergistic effect, i.e. 1 + 1 + 3 (or more).
