To me the BOD went hunting for a competing bid and BHP was interested and bid.   The conditions of the deal including the BOD/Exec committing their shares to the offer are pretty standard.   I was surprise there isn't a break up fee involved.

Ultimately what the BOD/Exec recommends means squat if there are competing offers that are more attractive to the majority of shareholders.

it will be interesting to see if NOT discloses it's fair market valuation.  I suspect now that BHP has made an offer that Wyloo is no longer restricted in making an offer.
