Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 19, 2011, David Bensol and Kenneth Shropshire each informed NutraCea that they will not stand for re-election to the Board of Directors at the Company's upcoming 2011 Annual Meeting of Shareholders on June 14, 2011 (the "Annual Meeting"). Mr. Bensol and Mr. Shropshire will serve the remainder of their term which expires at the Annual Meeting.
