WHY DOES ROYAL BANK OF SCOTLAND WANT IN ON SHARES ?

The extra shares issued in the deal are common not preferred,25% over issued shares or an extra 2,300,000 so what would be the point of the bank wanting them , if they will be worthless? they already have 1st right to the desposed assets, you would think ! and what of the statments of perfomance extras ?
who knows? but their still is activity at the shelly, not shutting down soooo!!
