Corporation (the “Agent”), on a commercially reasonable efforts basis for sale in the Selling Jurisdictions

6,666,666 units (the “Units”) of the Corporation (the “Offering”) at a price of $0.60 per Unit (the “Offering Price”).

Each Unit consists of one common share at a price of $0.60 in the share capital of the Corporation (the “Common

Share”) and one-half of one Common Share purchase warrant (each whole Common Share purchase warrant,

the “Warrant”). Each Warrant entitles its holder to purchase one Common Share at a price of $0.90 at any time

prior to 5:00 p.m. (Montreal time) on the date that is 24 months following the closing of the Offering. The Offering

Price of the Units was determined by negotiation between the Corporation and the Agent.
