I HAVE BEEN LOOKING INTO THIS EXTENSIVELY.

i am getting answers from SPQ --- EQUITY --- and legal people.

the key here is in our favour and that is this: they need 2/3 in order for it to pass.

THat is 2/3 of those present at the meeting... either casting their own personal vote or proxy votes on behalf of others.

so lets take this seriously... because it's a done deal if enough show up at the meeting with there own for sure and then with proxies of others.

this 2/3 rule is in conjuntion with a special motion ...in this case 'a motion for consolidation'

(... other motions pass more readily.. .. and do not have such stringent caveots in oreder to pass ...concerning operations and director appoinments ect.)
