FV announces Private Placement

FV has closed a non brockered PP of 13.5M units at aprice of 0.10cents for gross proceeds of $1.35M.Each unit consisted of 1 common share and 1 common share purchase warrant.Each warrant entitles the holder to aquire a common share at 0.15cents within 24 months .

The common shares and warrants comprising the UNits and common shares issuable upon exercise of the warrants are subject to a 4 month restricted period which expires on Oct 20/09
