Overview –Grayling Wireless USA

Grayling Wireless USA Inc. is an emerging player in emergency communications, management software and consulting industries. Grayling was initially formed in July 2001 for the purpose of developing and commercializing ClearCalm Advantage, an innovative safety communications system. Grayling went public in August 2003 (OTC Pink Sheets: GRYW) Grayling’s core product, ClearCalm Advantage is a proprietary, revolutionary hands-free, wireless, voice-activated communications system that works with Self-Contained Breathing Apparatus (SCBA). ClearCalm has wide-ranging applications that include use by firefighters and first response personnel, industrial personnel and implementation in any situation where the constraints of safety, space and technology limit the availability or efficiency of traditional forms of communication.

ClearCalm – Hands Free, Wireless, Voice Activated SCBA Communications

Unlike currently available products, ClearCalm is a hands free system embedded in the SCBA mask. ClearCalm uses a digital platform to ensure clear communication, unimpeded by background noise including breathing and situation related noise. First responders (firefighters and other emergency response personnel) are very positive about ClearCalm as a potentially life saving link in hazardous situations. The core product ClearCalm is modular designed to work with existing Scott SCBA apparatus and with existing commonly used two-way radio systems.

Other Business Units

Grayling has three other business units: Stone Mountain, Sentai Software Inc., and Virtual Wave.

Stone Mountain Ltd

Stone Mountain, based in Huddleston, Virginia, USA, was acquired by Grayling in the fall of 2006 and manufactures high quality, extremely rugged and reliable speaker microphone and audio products for the land mobile radio (“LMR”) market. Key markets include police, EMS, fire, military, business and industrial applications. Stone Mountain has a network of over 100 dealers in North America, providing strong sales support for Stone Mountain products and ClearCalm, as well as providing Grayling with a high quality production facility from which to launch ClearCalm.

Sentai Software Inc

For over 20 years, Sentai has provided complete distribution and financial software solutions to small and medium sized businesses worldwide. Sentai’s integrated applications deliver an efficient, cost effective environment for companies to manage their front office, distribution, warehouse and e-commerce requirements in the industrial, consumer goods and electronic industries. Key products include TRAX, Pinpoint, Compass as well as custom software, servicing small and medium sized businesses.

Virtual Wave Group – GPS

Grayling’s GPS communications group, Virtual Wave/V-TRAX provides global positioning system (“GPS”) services in Botswana. The services provide a complete tracking package allowing the customer to manage a vehicle’s location and optimize operations. Grayling plans to expand into the North American markets in 2007.
