CALGARY, ALBERTA, Feb 13, 2007 -- RepeatSeat Ltd. (TSX VENTURE:RPS), announced today that the Corporation closed a private placement by issuing a Convertible Debenture ("Debenture"), subject to regulatory approval, which raised $226,000.00. The Debenture Holder has the right upon notice to the Corporation, to convert any or all of the Debenture's principal, at any time and from time to time, into Common Shares of the Corporation at a price per share equal to $0.23 per share. Any Common Shares issued on conversion shall be subject to a four month hold period from the date of closing. The Corporation also issued 113,000 share purchase warrants entitling the holder to purchase one additional Common Share of the Corporation for a price of $0.70 per share up to January 31, 2008, the Maturity date of the Debenture.

The use of proceeds from the Placement will be for general working capital and marketing expansion activities.
