The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Oct. 15, 2007.

Shares: 5,428,570

Purchase price: 14 cents

Warrants: 5,428,570 share purchase warrants to purchase 5,428,570 shares

Warrant exercise price: 19 cents for a one-year period and 25 cents in the second year

Hidden placees: two

Pro group: RBC Dexia Investor Services Trust 2,499,999

Finders' fees: $45,600 in cash and 434,286 finders' warrants payable to Leon Frazer & Associates Inc., Kingsdale Capital Corp. and Research Capital Corp. Each finder's warrant entitles the holder to acquire one unit at 14 cents for a two-year period.
