You really don't see the difference between the obligations of a President/Chairman of a publicly traded company and those of a group of shareholders?

This may come as a surprise to you, but there are actual rules in this country and many others for that matter called laws that direct how a President/Chairman can conduct themselves that do not pertain to regular shareholders and their conduct.
