Specialist, you seem to be forgetting that no matter what happens at the AGM, the final outcome is in the hands of Chair.

Let's say if someone were to nominate off the floor and in turn beat out one or more of the current BOD's, Madame Chair could say that it was unfair to the shareholders not in attendance and could revoke it.

And no matter if it is right, wrong, or in between, the only way to dispute the Chair's decision is in a court of law.
