VANCOUVER, BRITISH COLUMBIA--(Nov. 24, 2010) - UC Resources Ltd. (TSX VENTURE:UC) - The Company wishes to announce it has agreed to issue a total of 1,235,250 shares for debt, at a price of $0.10 per share, to extinguish a debt in the amount of $123,525. The debt was originally incurred as a loan in 2008, as disclosed in the Company's financial statements. Trading in the shares issued for the debt will be subject to a four month and a day hold period from the date of distribution.

The issuance of shares for debt is subject to TSX Venture Exchange approval.
