Yes, the back-dating is very tacky. After all, he SAID he was working for free. If the compensation package started, say June 1st, that would be ok. After all the negatives with this company, this appears to be just another sneaky move. At this point JS should be trying to build trust.

Here are some of my thoughts on the matter......

* The less than $200k salary is ok. Lets face it, top management always makes a ton of money. If JS works hard and turns this thing around, it will be worth every penny. Lets hope he EARNS his salary.

* His bonus package worries me. The fact that details have yet to be determined leaves the door open for yet more selfishness. It would really piss me off if John was issued, say, 4 million shares at the end of the year. When people get things for free they don't VALUE them. I WANT THE CEO OF WLSA TO VALUE THE COMMON SHARES! Currently John is buying stock and that is good. But so far he has only bought about 250,000 shares. At 0.12 per, that is only $30k. This will mean nothing if he is given a huge pile of shares for free. I want JS to buy shares with his own money. No freebees! That puts him in the same boat as the common shareholders. It might be a life-boat at this point; but at least it puts us all on the same team.

* If JS does excelent work over the next year, he is entitled to an excellent bonus. Mediocrity does not count!

* I REALLY WANT TO TRUST THIS MAN, BUT HE IS MAKING IT SO HARD.
