Ressources Appalaches Inc.: Private Placement for a Maximum of $1.2 M

RIMOUSKI, QUEBEC, Dec 23, 2008 (MARKET WIRE via COMTEX News Network) --

Ressources Appalaches (TSX VENTURE: APP) announces a private placement offer comprising "A" units at $200 per unit and "B" units at $800 per unit, to a maximum total of $1,200,000.

This $1,200,000 placement offer is intended for accredited investors and for employees, members of senior management, directors, and consultants. The offer includes the issue of "A" units at a price of $200 per unit, each unit comprising 2,500 ordinary shares at a price of $0.08 per share and 2,500 warrants. It also includes the issue of "B" units at a price of $800 per unit, each unit comprising 7,275 ordinary flow-through shares at a price of $0.11 per share and 3,500 flow-through warrants.

Each warrant entitles the holder to subscribe for one ordinary share at a price of $0.10 per share, up to 30 June 2010, and each flow-through warrant entitles the holder to subscribe for one ordinary flow-through share at a price of $0.14 per share, up to 30 June 2010.

All subscriptions carried out through a middleman will be subject to a payment of 6% and all subscriptions carried out through a broker will be subject to a payment of 10% and the granting of broker warrants of 8% of the number of subscribed shares in "A" and "B" units, at a price of $0.10 per share, up to 30 December 2009.

These securities will be subject to a holding period of four months. This placement has received conditional approval from the TSX Venture Stock Exchange.

The proceeds of the placement will mainly be applied to the costs of exploration on properties located in Canada and working capital. The proposed work consists primarily of drilling.
