So, correct me if wrong, but they are only recognizing shareholder pressure. They are still saying that they can do anything they want!

"(vii) Notwithstanding the foregoing, the board of directors may, in its sole discretion, waive any requirement in this Section 3.04A."

That! Ladies and gentlemen, says they can waive any requirement stated in this news release.
