Binovi Technologies Corp. has arranged a non-brokered private placement of up to 13,333,333 common shares priced at 15 cents per common share for total gross proceeds of up to $2-million. The shares will be subject to a 4 month hold period and the Private Placement is subject to TSX Venture Exchange approval. The Company may pay a finder's fee on the Private Placement within the maximum amount permitted by the policies of the exchange. The Company may complete multiple closings of the Private Placement, as subscriptions are received. Each closing is subject to a number of conditions, including receipt of all necessary corporate and regulatory approvals.

It is anticipated that insiders of the Company will participate in the Private Placement.

Closing of the Private Placement is subject to certain customary conditions, including, without limitation, approval of the TSXV. 

The Private Placement replaces and supercedes the proposed private placement previously announced.
