Passcreator acquisition update?

With 50 million passes, top clients, and great revenue potential I am really hopeful Loop Insights acquistion goes through. Next time Rob is being interviewed maybe he can give an update especially on how the acquisition is being paid for. Share issuance or cash or both? I think the deal was suppose to close sometime in February so maybe my question will be answered shortly anyway.
