You will agree that announcing a private placement usually create a bid of trading actions around the financing price.

Today actions is a good example of this...

So in order to reduce that situation to the minimum, we market our PP first to institutions capable of placing significant orders.  Then once our book is pretty well line up we issue a press release announcing the PP, and this will be followed up quickly by a second release announcing the close of the PP.

This case was no exception, we have already completed the financing announced, leaving only the over-allocation allotment available.

While we don't really need the over-allocation funds, we are doing this in order to give our long-term shareholders who are accredited investors an opportunity to participate under the same conditions.   

For those that are on our mailing list, they would have received the information already.

So, in the end, we agree with you that its just common sense to give our shareholders an opportunity to participate.
