You usually go to the trouble of passing such a plan if there is a percieved threat. What is threatened here is the cushy position of this board who are sitting on a large acreage of relatively rich ground and doing nothing with it but play around with their boardroom games. They are scared someone with a little initiative will come in with plans to actually dig a little gold out these propeties and upset their little sinecure.
