I don't know what you mean by 'fall through' but Noront doesn't have to pay BHP if BHP can't get the shares/votes it needs for the takeover. If Noront accepts another bid, then there's a cash termination payment of $13 million:

The Company is obligated to pay the Offeror a cash termination payment (the "Termination Payment") in an amount equal to $13.0 million upon the occurrence of any of the following events:
