My theory,

Wyloo wants to get rid of our board and replace it with thier's, they offer us .70 or chance to remain share holders. We take them on their word, enough people sell at .70 and they get 51% of shares, they then have control, install their board then simply buy up enough shares to get them to the 66% required to take the company private. They win on the cheap, we loose.
