AMENDING AGREEMENT TO SUPPORT AGREEMENT
THIS AMENDING AGREEMENT (“Amending Agreement”) is made as of the 19th day of October, 2021

(b) by deleting “$13,000,000” in the first paragraph of Section 8.3(a) and replacing it with “$17,780,000”, with the result that the first paragraph of Section 8.3(a) shall read as follows:
“The Offeror shall be entitled to a cash termination payment (the “Termination Payment”) in an amount equal to $17,780,000, subject to the terms of Section 8.3(b), upon the occurrence of any of the following events (each a “Termination Payment Event”), which shall be paid by the Company within the time specified in respect of each such Termination Payment Event:”.
