Message: Waiting For The Management Circular

I talked to Shorecrest and got the impression that there would be two voting.

We have to vote whether to accept the Plan of Arrangement with Wyloo before March 11th. Then we have to vote whether to retain our shares or to accept the $1.10 per share take over price at a latter date. If the Plan of Arrangement is voted down, then there won't be the need to vote whether to retain or to accept the $1.10 per share price. Am I correct in this? 

So, if anyone wants to keep the shares, why not just vote the Plan of Arrangement down? 

I appreciate some insight from the board. Thanks.
