 If the Transaction is not approved by Shareholders, the Company will not receive any Transaction proceeds, will continue to own and operate DenseLight, will not benefit from the proposed strategic partnership with the Buyer and will be forced to repay much of the funds that it has secured to bridge to the Transaction.
