MD&A's are always overly precautionary. It would have been difficult to imagine them reaching the DL earn out without something disruptive ready for sale but I suspect it was written in at the request of the buyer as an incentive. 

It was mentioned that prior to the release of the financials they could not talk about future earnings with analysts. So let’s see if Vivek can get the market on board. I think he will.
