TSX Venture Tier 2 Company

TSX Venture Exchange (the "Exchange") has accepted for filing a secured loan in the amount of $100,000 (the "Loan") between the Company and La Prima Investment Ltd. (the "Lender"). The Loan shall mature November 1, 2017and carry an interest rate of 6% per annum.

Additionally, the Exchange has accepted the issuance of 400,000 bonus common shares to be issued to the Lender in connection with the Loan.
