The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced June 17, 2019.

Number of shares: 5,225,000 common shares

Purchase price: five cents per common share

Warrants: 5,225,000 share purchase warrants to purchase 5,225,000 common shares

Warrant exercise price: 7.5 cents set to expire on Aug. 15, 2021

Number of placees: nine placees

Insiders: Brian Penney, 300,000; Cedar Forest Inc. (Kevin O'Connor), 500,000

Finder's fee: Ken MacLeod, $625 cash
