Tres-Or Resources Ltd. (“Tres-Or”) is pleased to announce that it has negotiated a non-brokered private

placement for up to 4,000,000 units of Tres-Or at a price $0.06 per unit. Each unit consists of one

common share and one share purchase warrant, each warrant entitling the holder to purchase one common

share of Tres-Or at a price of $0.08 during the first year and $0.10 during the second year.

The proceeds from the private placement will be used to advance Tres-Or’s diamond exploration projects

in the Timiskaming region of northwestern Quebec and for general working capital.

The private placement is subject to regulatory approval.
