JOHN F. COOK
Position: Chairman, Director

Bachelor of Engineering (Mining), C. Eng UK, and P. Eng Ontario, John brings to Premier more than 40 years of experience in the operations and management of mining companies. Past positions included Senior Mining and Managing Consultant, RTZ Consultants Ltd. (1974-78), Associate and Principal, Golder Associates (1978-83), Senior Project Manager, General Manager, and Vice President Engineering, Lac Minerals Ltd. (1983-90), Vice President Operations, Goldcorp Inc. (1990-94), and Navan Resources, Operations Director (1994-96). Currently John serves as Chairman of Anaconda Gold Corp. and Wolfden Resources Inc. and is a Director of GLR Resources, Uranium City Resources, MBMI Resources and Wolfden Resources Inc..



EWAN S. DOWNIE
Position: CEO, President and Director

Since 1989, owner and founder of Vytyl Exploration Services, a contracting business in mineral development and exploration for a wide variety of clients including Placer Dome Canada Inc., Noranda Mining and Exploration Company Ltd., Canmine Resources, and many others. Vytyl has conducted exploration and geophysical contracts on advanced projects such as the Musselwhite and Campbell Mines (Placer), Eagle River Mine (River Gold), GECO-Manitouwadge (Noranda), and Werner Lake (Canmine).

Mr. Downie is also involved with the following companies as a director: Sabina Silver Corporation, Newstrike Resources Ltd., Halo Resources Ltd., Anaconda Gold Corp., Benton Resources Corp., Pediment Exploration Ltd ., and Wolfden Resources Inc.

In 2004, Mr. Downie was part of the exploration team for Wolfden Resources Inc. that received the Prospector & Developers Association of Canada (PDAC) '2003 Bill Dennis Prospector of the Year Award'. Mr. Downie was also presented with the 2003 Developer of the Year award from the Northwestern Ontario Prospectors Association. He also received the Bernie Schnieders Discovery of the Year Award for 2005.



STEPHEN McGIBBON
Position: Executive Vice-President and COO

Mr. McGibbon is a Professional Geologist with over 23 years of exploration, mine production and management experience. He graduated from Queen's University at Kingston, in 1983 with a Bachelor of Science degree in Geological Sciences. Upon graduation in 1983, and prior to his tenure as Exploration Manager, Mr. McGibbon held positions of increasing responsibility in Red Lake with Goldcorp Inc. and its predecessor companies Goldquest Exploration Inc. and Dickenson Mines Limited, leading to Chief Geologist in 1995. Since 2001, and until June of 2006, he has served as Exploration Manager for Goldcorp Inc., at its flagship Red Lake Mine operation. His focus in Archean terranes and experience with shear-hosted, lode gold deposits dovetail very well with Premier's current assets.

Mr. McGibbon brings to Premier a very successful track record in gold exploration and development, being a senior member of the team at Goldcorp that discovered the "High Grade Zone" at Red Lake. The High Grade Zone is world renowned as the world's highest grade gold deposit and one of the most important gold discoveries made in the last 20 years. In his capacity as Chief Geologist and Exploration Manager, he lead the talented team of geologists that helped transform the marginal, high-cost operation into an unparalleled mining success. Recently, Mr. McGibbon was a member of the senior team that integrated the Red Lake Mine and Placer Dome's Campbell Mine, as part of Goldcorp's recent purchase of Placer's Canadian mining and exploration assets. Mr. McGibbon is a disciplined geologist and team-builder that helped foster a spirit of innovation at Goldcorp.



JOHN SEAMAN
Position: CFO, Director

Prior to Premier, Mr. Seaman held the position of Chief Financial Officer of Wolfden Resources Inc. from October 1, 2002 until the its sale in June 2007. Mr. Seaman is also the President and CEO for Apex Investigation & Security Inc. (private security firm) since 1992.

Managing Director of Quest Capital Corp.(merchant banking company) since June 30, 2003; director of Quest Management Corp. (management company wholly owned by Quest Capital Corp.) since December 1999. Mr. Sinclair formerly served under Wolfden Resources Inc.



HENRY J. KNOWLES, Q.C., H.B.A., LL.B., LL.M., M.B.A.

Henry Knowles is a Business & Financial consultant and was counsel to Sheldon Huxtable (law firm) prior to January 1, 2003. Also a Chairman and/or Director with several other companies, Henry is a former Chairman of the Ontario Securities Commission and brings to Premier extensive knowledge of the laws and regulations governing mining and exploration companies in Canada.



JOHN A. POLLOCK
Position: Director

Professional Engineer (Mining), John has a long successful history in Canadian Mining. His companies have been in exploring and financing various projects for up to 18 years. John has been director and/or officer for the following public companies: Northway Explorations Ltd. (mining company), Aurcana Corporation, Young Davidson Mines Ltd. (mining company),Jonpol Explorations Ltd.,T&H Resources Ltd, Gowest Amalgamated Resources Ltd., Polyphalt Inc. and Aurado Exploration Ltd., and Wolfden Resources Inc. These companies have been responsible for several finds in the past including the Garrison gold (Timmins Camp) deposit which completed bulk-sampling in 1997.



JEAN-PIERRE COLIN
Position: Director

Jean-Pierre Colin has been an investment banker since 1980 and is Director & Head of Corporate Finance of Octagon Capital Corporation, an investment dealer offering financing services to resources companies in Canada. Mr. Colin was formerly an investment banker with Desjardins Securities Inc., Executive Vice-President of Deacon Capital Corporation, and Senior Vice President of Richardson Greenshields of Canada Limited. Mr. Colin was also the founder of JP Colin Securities Inc., a securities dealer focused on corporate finance services to public mining companies. He is a Member of the Bar of the Province of Quebec and holds a Master of Business Administration from the University of Western Ontario, a Civil Law Degree from the University of Ottawa and a Certificate in Comparative Law from the University of Manitoba. He is the former Faculty of Arts Co-Chair of the Waterloo Advisory Council of the University of Waterloo, former founder and President of Caratax Management Ltd., the manager of public flow-through share limited partnerships, and a former director of numerous other successful public mining companies in Canada including Wolfden Resources Inc., Pelangio Mines Inc., Virginia Gold Mines Inc. and NIM Management, the manager of over $730,000,000 of flow through share funds.



JOHN BEGEMAN
Position: Director

John Begeman is a mining engineer with over 30 years of mining experience. He currently is the CEO and President of Valencia Ventures and Avion Resources. Previously, Mr. Begeman served as Chief Operating Officer of Zinifex Canada Inc. (formerly Wolfden Resources Inc.), where he was responsible for managing the day-to-day operations of the company. He was also key in negotiating Impact Benefits Agreements with the Regional Inuit Association for Zinifiex's Arctic VMS High Lake deposit. In addition, Mr. Begeman supervised environmental impact assessment studies, as well as Technical Report investigations, for the High Lake and Izok Lake VMS deposits for Zinifex. From May 2000 to January 2006, Mr. Begeman held the role of Vice President, Western Operations for Goldcorp Inc., where he worked on the Wharf and Golden Reward open-pit heap leach mines in South Dakota. He also was responsible for Goldcorp's sodium sulphate operations in south western Saskatchewan. He is a registered professional engineer in the State of Texas, holds a Bachelor of Science in Mining Engineering and Master of Science in Engineering Management from the South Dakota School of Mines and Technology as well as a Masters in Business Administration from the University of South Dakota.
