just picked up an excellent book on Securitis Law written by Jeffrey MacIntosh and Chris Nicholls.

They state "there are at least 6 sections or the Criminal Code that describe offences that relate to trading securities. Perhaps the most important is section 400, which provides that it is an indictable offence to engage in the following activities

a. make,circulate or publish a prospectus,a statement or an account whether written or oral (known to be false) false in a material particular with intent.

b. to deceive or defraud the members, shareholders or creditors whether ascertained or not, of a company
