"I am all for shareholders doing there own D.D.": Well, to be a shareholder, all you need is the money and the will. If they don't do their own DD and piggy-back on others, they stand to get fleeced. Do your own DD and you might get fleeced anyway!

"exercising there rights as legitimate owners of the company those shares represent": The vast majority of shareholders own only a miniscule portion of "their" company. Therefore, unless they are independently wealthy and very free with their cash, they must needs club together with other shareholders to have any hope of meaningful action (barring rare unique situations where only the shareholder in question is affected).
