1. To receive the Directors' Report to the Shareholders and the Audited Consolidated Financial Statements of the Company together with the Auditor's Report thereon for the financial year ended December 31st, 2015;

2. To elect directors for the ensuing year;

3. To appoint the auditors for the ensuing year and to authorize the directors to fix the remuneration to be paid to the auditors;

4. To set the number of directors at seven (7);

5. To pass an ordinary resolution approving the amendments to the Company’s Stock Option Plan and approving the 2016 Plan as amended, with Insiders of the Company abstaining from voting, as set out in the Management Information Circular;

6. To transact such further or other business as may properly come before the Meeting and adjournments thereof.
