(“Nest”). Nest is a wholly-owned subsidiary of Google Inc. (“Google”). Google is a wholly-owned subsidiary of public company Alphabet Inc. (“Alphabet”). Accordingly, Alphabet has more than ten percent (10%) ownership of Google. No parent corporation or publicly-held corporation owns ten percent (10%) or more of Alphabet’s stock.
