In my opinion what has upset many of us is the comment they made in the circular Hilited in bold by Rain.  Is this what they truly believe as a rational or  is this an unforced error (or worse intentionally added to guarantee a low share price before the AGM. )

From the information circular: "In the recent years, the price of the Shares has experienced significant volatility given the stage of development of the Company and its position in the technology sector. As a result of this volatility, and the prolonged downturn in stock price in recent years, certain of the outstanding options held by certain insiders of the Company no longer provide adequate incentive to such officers and directors since their original pricing does not reflect the current market reality or likely scenarios for the Share price."

I have no problem with the incentive piece given directors are foregoing normal salary stipend and for Suresh and a few others insiders tasked on delivering the tech piece but it's not like performance bonuses so it appears it's all or none deal 

Notice in the Q and A blog they don't mention the likely share price scenario piece only the incentive plea to reduce option price. That was a tactical error that needs to be cleaned up. Suresh needs to reassure investors without going off side with regulators 

If he were to do it vote for yes would be unanimous
