Yes for (a), as per the NR, this is a new Placement.

Yes for (B) also. This non-brokered PP allows precisely the actual shareholders to suscribe to avoid further dilution. Jim may have anticipated this concern. The opportunity is however open only to 'accreditated investors' (ie, 200K+ annual income, 5MM net assets, etc...).
