Although Wyloo says they will beat the price up, they must have a limit as to how high they will go - and it's likely significantly lower than what they think it is worth (hence the question re: what ROI are they looking for). Wyloo may think it's worth $20, but they wouldn't pay that much for it, and they know BHP wouldn't either. The spread is BHP's opportunity window.

BHP only needs to beat the price Wyloo's willing to pay (and vice versa), they don't need to beat what Wyloo thinks it is worth.
